License Agreement

Effective Date: 10.05.2025

This License Agreement (“Agreement”) is a legal contract between you (an individual or organization) and JazzPianoLab, governing your use of the digital sheet music, audio files, software, and other digital content (“Product”) available through a paid subscription to JazzPianoLab.

By subscribing to, accessing, downloading, installing, or using any Product from JazzPianoLab, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Product.

Important: Your subscription license is valid for one operating system only (either Windows or Mac). If you wish to use JazzPianoLab on both Windows and Mac, you must purchase a separate subscription for each platform.

1. License Grant

With an active subscription, you are granted a worldwide, non-exclusive, non-transferable, and revocable license to:

  • Use the Product for personal and commercial purposes, including but not limited to:
    • Music teaching, private lessons, classroom use, and educational platforms
    • Recording, livestreaming, social media posts, video production, podcasting, or blogging
    • Client work, paid performances, or other content monetization
  • Publicly perform, demonstrate, or display the Product as part of your services or content

Device Use:

Each subscription grants a license for use on one device at a time. If you wish to switch devices, you may deactivate the license on the current device before activating it on another. Unauthorized sharing or usage on multiple devices may result in suspension or termination without refund.

System Information Collection: During registration and license activation, JazzPianoLab collects system information including your operating system name, type, description, and display resolution. This data is used solely for hardware identification and license management, and is never shared with third parties.

2. Restrictions

You may not:

  • Sell, sublicense, rent, or distribute the original Product files (e.g., raw sheet music, backing tracks, unmodified resources)
  • Include the Product in resale packages, content libraries, or other services
  • Claim authorship of original content from JazzPianoLab that you did not create
  • Reverse engineer, disassemble, compile, modify, translate, investigate or otherwise study the Product (including, but not limited to any software, firmware, hardware components or circuits) in whole or in part
  • Use a single license on multiple devices — each license is valid for one device and one operating system (Windows or Mac) at a time. Attempts to bypass this restriction may lead to account suspension or termination without refund
  • Repeatedly activating and deactivating a license on different devices. These actions will be treated as suspicious and may result in account suspension or termination without refund

If you represent a music college, school, or other organization and need multiple licenses, please contact us to discuss bulk licensing options.

3. Intellectual Property

All content provided via JazzPianoLab remains the sole intellectual property of JazzPianoLab, its licensors or the original owner of that content. You are granted limited usage rights under this Agreement, but no ownership of the content itself is transferred to you.

4. Copyright Infringement Policy

JazzPianoLab respects the intellectual property rights of others.
If you believe that any content provided through JazzPianoLab infringes upon your copyright and you are the original owner or authorized representative, please contact us immediately.

Please include the following in your claim:

  • A detailed description of the copyrighted work
  • The specific content on JazzPianoLab that you believe infringes your rights
  • A statement that you have a good-faith belief the use is not authorized
  • Your contact information and a signature (digital or physical)

Upon receiving a valid notice, JazzPianoLab will promptly investigate the issue and, if necessary, remove or disable access to the disputed content.

JazzPianoLab is not liable for copyright infringement arising from third-party content or user submissions, and will act in good faith to resolve any reported issues in accordance with applicable laws.

5. Attribution

Attribution is not required, but we appreciate credit when possible.
Suggested format: "Made with JazzPianoLab” (in video/post descriptions, footnotes, or credits).

6. Feature Requests

We encourage user feedback and welcome suggestions for new features or improvements.
While community interest plays a role in prioritization, feature implementation is also based on JazzPianoLab’s vision, development roadmap, and available resources.

7. Warranty Disclaimer

The Product is provided “as is” without warranties or guarantees of any kind.
JazzPianoLab makes no assurances regarding compatibility, uptime, or specific performance.
All implied warranties—including merchantability, fitness for a particular purpose, and non-infringement—are explicitly disclaimed.

8. Limitation of Liability

To the fullest extent permitted by law, JazzPianoLab shall not be liable for any damages arising from your use of the Product.
This includes direct, indirect, incidental, consequential, special, exemplary, or punitive damages—even if advised of the possibility.
You agree to use the Product at your own risk.

9. Termination

This Agreement terminates automatically:

  • If your subscription ends or is canceled
  • If you breach any terms of this Agreement

Upon termination, you must discontinue use and delete all Product files unless explicitly authorized to retain them.

10. Updates and Modifications

JazzPianoLab may update this Agreement and the Product at any time.
Continued use after updates constitutes your acceptance of the revised terms.

11. Mandatory Updates and Staying Up to Date

JazzPianoLab may release mandatory updates to the application and related services. You are required to install these updates promptly in order to continue using JazzPianoLab and its features. Failure to update the application may result in loss of access to the service, security vulnerabilities, or incompatibility with new features. By using JazzPianoLab, you agree to keep your application up to date and to install all required updates as they become available.

12. International Use and Legal Jurisdiction

This Agreement applies to users worldwide.
You agree to comply with local and international laws, including copyright and intellectual property regulations.
Disputes will be resolved via negotiation or, if needed, international arbitration in a neutral venue.

13. Entire Agreement

This Agreement represents the entire understanding between you and JazzPianoLab.
No amendment shall be valid unless made in writing and signed by an authorized JazzPianoLab representative.
